These Terms and Conditions govern all services provided by Marida Business Services to individuals, startups, organizations, schools, churches, cooperatives, and growing businesses. By contacting us, submitting your details, or making payment, you agree to these terms.

1. Who We Are and How We Work

Marida Business Services is a third-party business registration and compliance service provider. We act on behalf of our clients to handle the registration process end-to-end — so you do not have to visit government offices, navigate complex portals, or deal with regulatory paperwork yourself.

We work with qualified lawyers, legal professionals, and compliance experts to ensure that every filing is handled correctly and in the best interest of the client. Our team advises on the most appropriate registration structure, business type, and compliance path based on your specific needs.

We are not the Corporate Affairs Commission (CAC), FIRS, the Trademark Registry, SCUML, Stanbic IBTC Pension, or any other government authority. We are an independent service provider that submits and manages registrations on your behalf through the appropriate official channels.

2. Our Services

On behalf of clients, Marida Business Services handles:

  • CAC Registration — Business Name, Limited Liability Company (LLC), NGO/Incorporated Trustee
  • SCUML Registration and anti-money laundering compliance support
  • Trademark Registration processing
  • TIN Registration and basic tax compliance support
  • Cooperative Society Registration (FCT, Kogi, and other states)
  • Stanbic IBTC Pension Registration
  • Savings and Stock Investment guidance
  • General business advisory, employer code support, and documentation services

Because we operate as a third-party registrar, we coordinate directly with the relevant authorities on your behalf. Any approvals, rejections, queries, or decisions remain the sole authority of those government bodies.

3. Client Authorization

By engaging our services and making payment, you authorize Marida Business Services to act as your representative in preparing, submitting, following up on, and communicating with the relevant government agencies, registries, or institutions in connection with your requested service.

Where you are acting on behalf of a company, church, school, NGO, cooperative, or another person, you confirm that you have the authority to instruct us and bind that entity to these terms.

4. Legal and Professional Guidance

Marida Business Services works alongside lawyers and legal professionals to guide clients toward the most appropriate and legally sound decisions. Our advice takes into account your business type, goals, and regulatory obligations under Nigerian law. However, our guidance does not replace independent legal counsel, and clients are encouraged to seek additional legal advice where needed for complex matters.

5. Client Responsibilities

To complete any registration or compliance service on your behalf, you must provide accurate and complete information, including:

  • Valid means of identification — NIN, Voter's Card, Driver's License, or International Passport
  • Proposed business name and an alternate name where required
  • Business address and nature of business
  • Names, contact details, and identification of all owners, directors, or trustees
  • Any additional documents requested based on the specific service

Marida Business Services is not responsible for delays, rejections, queries, or errors arising from inaccurate, incomplete, or falsified information supplied by you.

6. Payment Terms

Fees include our professional service charges and, where applicable, government filing fees, platform charges, and other direct costs associated with your registration. Payment terms are communicated via phone or WhatsApp at the point of engagement. We begin work after payment confirmation unless otherwise agreed. Where government or third-party charges increase after a quote is issued, you are responsible for the additional amount required to complete the registration.

7. Refunds and Cancellations

  • Amounts already remitted to any government agency, registry, or third party on your behalf are non-refundable.
  • Professional and legal fees for work already commenced — including document review, form preparation, name search, legal consultation, and submission — are non-refundable.
  • If you cancel before substantial work has begun, a partial refund may be considered at Marida's discretion, less any administrative or consultation costs already incurred.
  • No refund is due where your registration is abandoned due to your failure to provide required documents or respond to our communication.

8. Processing Timelines

All timelines communicated are estimates only. Actual processing depends on CAC portal availability, document readiness, regulatory review periods, and government workload. As a third-party registrar, we follow up and push for prompt processing, but we are not liable for delays caused by CAC, FIRS, or any other government body.

9. Communication

We communicate with clients primarily via phone and WhatsApp using the contact details you provide. You are responsible for remaining reachable and responding promptly when we need additional information, approvals, signatures, or payment to continue your registration. Delays caused by an unresponsive client do not constitute a breach by Marida Business Services.

10. Accuracy of Information

We rely entirely on the information you provide to complete all filings on your behalf. You confirm that all submitted details are truthful, authorized, and legally correct. Any errors, rejections, penalties, or additional costs arising from incorrect information you supplied are your responsibility.

11. Lawful Use

Our services must not be used for any unlawful, fraudulent, deceptive, or money-laundering-related purpose. Marida Business Services reserves the right to refuse, suspend, or terminate any engagement where there is reason to believe a client's registration or business activity is illegal or non-compliant with Nigerian law.

12. Limitation of Liability

As a third-party registrar, Marida Business Services shall not be liable for delays, rejections, or decisions made by government agencies, portal downtime, policy changes, or any systems outside our control. Our total liability for any claim shall not exceed the amount you paid to us for the specific service giving rise to the claim, excluding non-refundable government or third-party charges already applied on your behalf.

13. Privacy

We collect and use your personal information solely to deliver the requested registration or compliance service and to comply with legal obligations. Where necessary to complete your filing, your data may be shared with the relevant government authority, regulatory institution, or professional service partner. We do not sell or misuse client data.

14. Governing Law

These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria. Any dispute shall first be resolved through good-faith negotiation. If unresolved, the matter shall be referred to the appropriate courts in Nigeria.

15. Changes to These Terms

Marida Business Services may update these terms from time to time. Updated terms take effect once published on our website or communicated through our official channels. Continued use of our services after an update constitutes acceptance of the revised terms.
